Terms of Service
Welcome to the Apple Silicon bare metal cloud infrastructure service (hereinafter referred to as the "Service") provided by JEXCLOUD. These Terms constitute the legal agreement between you and JEXCLOUD regarding your access to and use of our Platform and Services.
1. Service Description
JEXCLOUD is committed to providing high-performance Apple Silicon bare metal physical server rental and related network infrastructure services.
- Resource allocation:We will allocate designated physical node resources (such as Mac mini M4 / M4 Pro) to you based on your order. The hardware configuration and network parameters of specific nodes may be adjusted due to inventory and operation conditions, and are subject to actual delivery.
- Right to change services:We reserve the right to modify, suspend, downgrade or discontinue the Service (or any part thereof) at any time,No prior notice required, nor assume any liability for compensation or compensation arising therefrom. Fees paid during the service interruption period are not refundable.
- Unilateral right of termination:We reserve the right to immediately suspend or terminate your account and access to the Services at any time, for any reason (or no reason), and without liability.
- Pricing adjustments:We reserve the right to adjust service pricing at any time, and the new pricing will take effect in the next billing cycle.
2. Account and Security
You need to register a JEXCLOUD account to use our console and related services.
- Information accuracy:You must provide a true, accurate, and current email address and other required information. If providing false information results in service abnormalities or legal disputes, you shall be solely responsible.
- Credential protection:You are solely and unshared responsible for protecting the security of your account password, root password, and all access credentials. JEXCLOUD is not responsible for and does not provide any form of compensation for any unauthorized access, data loss, service misuse, or property damage caused by your failure to properly keep the above credentials.
- Account monitoring:We reserve the right to monitor account activity to detect violations and ensure platform security.
3. Fees and Payment
Fees for all services are set forth on the pricing page or order confirmation page.
- Prepaid model:Our services are strictly prepaid. You must pay the full amount before the service period starts, and the order will not take effect until the payment is successful.
- Overdue processing:If you fail to complete the renewal payment before the expiration date, JEXCLOUD will have the right to immediately suspend or permanently terminate your service without any notice and to irreversibly destroy all data on the server. JEXCLOUD does not assume any responsibility for any data loss caused thereby.
- Strict no refund policy:Given the physical deployment costs and fixed operating expenses of bare metal servers,All fees paid are non-refundable without any exceptions. This includes but is not limited to: early termination of service, voluntary account cancellation, suspension due to violations, etc. Users are not allowed to initiate a dispute (Chargeback) with the payment institution for any reason, otherwise JEXCLOUD reserves the right to recover all losses and processing fees.
4. Usage Guidelines and Acceptable Use Policy (AUP)
You agree to strictly comply with all applicable laws and regulations when using our services. youstrictly prohibitedUse our services to:
- Conduct any form of network attack (e.g. DDoS, port scanning, network sniffing).
- Sending spam and sending unauthorized bulk emails.
- Host or distribute illegal, infringing, pornographic, violent or malicious software (such as viruses, Trojan horses).
- Utilize hardware resources to conduct any cryptocurrency mining (mining) activity not expressly authorized by JEXCLOUD.
If the above violations are discovered, JEXCLOUD reserves the right to immediately suspend your server and account without refund.
5. Data security and backup
Although we provide a robust hardware infrastructure,You are solely responsible for the security of your business data.
- We do not provide automatic data backup services for a single bare metal instance. We strongly recommend that you set up your own and back up critical data to offsite object storage or other secure locations.
- After the service expires or you actively release the node, the underlying system will irreversibly erase your disk data.
6. Disclaimer and Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JEXCLOUD PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
- We expressly disclaim any guarantee that the Service will be continuously available, uninterrupted, secure, or error-free. The service may be interrupted at any time due to maintenance, upgrades, force majeure or other reasons.
- JEXCLOUD shall not be liable for any indirect, incidental, punitive, special, consequential or other derivative losses (including lost profits, business interruption, loss of data, etc.), whether or not such losses are foreseeable.
- Liability limit:JEXCLOUD's total cumulative liability to you under any circumstances shall not exceed the service fees actually paid by you to us during the one (1) calendar month prior to the event giving rise to liability.
- force majeure:JEXCLOUD assumes no liability for service interruptions or losses due to natural disasters, war, cyberattacks, third-party infrastructure failures, government actions, changes in law, or other events beyond JEXCLOUD’s reasonable control.
- Clause Severability:If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to maintain its intent, and all remaining provisions will remain in full force and effect.
7. Governing Law and Dispute Resolution
The interpretation, validity and dispute resolution of these Terms,Applicable laws of the place where the service provider is registered, you expressly consent and submit to the exclusive jurisdiction of the courts in that jurisdiction.
- Negotiation prerequisite:For any disputes arising from the use of this service, both parties shall first conduct friendly negotiations via written notice (the negotiation period shall be no less than 30 days).
- Litigation rights:If negotiations fail, JEXCLOUD reserves the right to file a lawsuit in any manner with any court of competent jurisdiction, including applying for emergency injunctive relief, without first performing the obligation to negotiate.
- Statute of limitations:You agree that all litigation claims based on these Terms or the Service must be filed within one (1) year after the event giving rise to the cause of action. Failure to do so will be deemed to be permanently waived, and no extension terms will apply.
- language:If there is any ambiguity between the Chinese version of these Terms and other language versions, the authoritative version determined by JEXCLOUD at its sole discretion shall prevail.
